CropBoard, a service of UNSEEN RS
Terms of use
In short — CropBoard lets you prepare and share the framing of visuals. Your images never leave your computer. Your access is personal. The tool remains the property of UNSEEN RS: you may use it, not analyse or copy it.
1. Who provides CropBoard
CropBoard is a service published and operated by UNSEEN RS, a French simplified joint-stock company (SASU), RCS Bobigny 999 331 689, registered office: 89 avenue Michelet, bât. A, 93400 Saint-Ouen-sur-Seine, contact: contact@cropboard.studio ("we"). It may be presented to you in the colours of a partner agency; in every case, UNSEEN RS provides the service.
2. Who CropBoard is for
CropBoard is a professional tool, made available by invitation to the clients of our partner agencies and to our own clients, for the projects entrusted to those agencies or to UNSEEN RS. By signing in, you confirm that you act on behalf of a business and have the authority to accept these terms for it.
3. Your account
3.1. Your access is personal and in your name. You do not share, lend or transfer it, including to an agency or a contractor.
3.2. You are responsible for the use of your account and tell us without delay of any unauthorised use.
3.3. We may suspend or close an account if these terms are breached, at the request of the partner agency that asked for it, or when our agreement with that agency ends. We tell you in advance where we can; the PDF documents you have already produced remain yours and usable.
4. What you may do
For the duration of your access, we grant you a personal, non-exclusive and non-transferable right to use CropBoard online to prepare, save and share framings in the course of your business, and to use freely the PDF documents and session files you produce for those purposes.
5. What you agree not to do
You agree not to, and not to allow anyone to:
- copy, modify, adapt, translate, decompile, disassemble, analyse or attempt to reconstruct how CropBoard or what it produces works;
- submit CropBoard or what it produces to an automated analysis tool, including an artificial intelligence system, to understand or reproduce how it works;
- circumvent an access-control or protection measure, or the limits of a demonstration version;
- use CropBoard to develop a competing product or service;
- resell, rent or make CropBoard available to a third party.
These restrictions apply subject to the rights that the law grants, as a matter of public policy, to the lawful user of software (Article L122-6-1 of the French Intellectual Property Code). They constitute a contractual prohibition within the meaning of Article L151-3 of the French Commercial Code.
6. Your images and your framings
6.1. Your images are not sent to our servers. CropBoard runs in your browser and the application is set up to transmit no file while you work. We have no access to your images.
6.2. You keep all your rights in your images, your framings and the documents you produce. You warrant that you hold the rights needed for the images you open in CropBoard.
6.3. The PDF documents produced by CropBoard carry your account identifier and an opening number, which link them to their author (see the privacy policy).
7. Ownership
CropBoard, its code, its interface, its documentation and the CropBoard trade mark are and remain the exclusive property of UNSEEN RS. These terms transfer no right to you other than that of section 4. We may use the suggestions you send us freely, without consideration.
8. Availability and changes
CropBoard is provided as is. We make our best efforts to keep it available and reliable, without any guarantee of uninterrupted availability or freedom from error, and we may change it. Always check your framings before production: the document that counts is the PDF you approve.
9. Liability
To the extent permitted by law, we are liable only for proven fault, only for direct damage, and, where CropBoard is provided to you free of charge, up to one hundred (100) euros. This limit does not apply in case of gross negligence or wilful misconduct.
10. Term
These terms apply for as long as you have access. Sections 5, 7 and 11 continue to apply after your account is closed.
11. Governing law
These terms are governed by French law. Any dispute falls within the jurisdiction of the courts of Paris, subject to mandatory rules to the contrary. In case of discrepancy between language versions, the French version prevails.
12. Changes
We may change these terms; the new version will be shown to you at your next sign-in and must be accepted to keep using CropBoard.
